GENERAL CONDITIONS OF SALE OF Molino e Riseria Martini di Giuseppe Martini s.a.s.

Valid and enforceable starting from 02/05/2017

  1. (Entering into the Agreement)

1.1 The purpose of these General Conditions of Molino e Riseria Martini di Giuseppe Martini s.a.s., hereinafter referred to “La Veronese” with registered office Via Molino, 37 37168 – Vigasio (VR) in Italia, CF/PI 01680390232, is to regulate the sale of products manufactured and Molino e Riseria Martini (hereinafter “Products”). The Product Sale Agreement and the order confirmation entered by and between Molino e Riseria Martini and the Purchaser of which these General Conditions form an integral and essential part (hereinafter “the Agreement”) supersedes any written or verbal commitment, agreement or covenant previously established between Molino e Riseria Martini and Purchaser. In no event other conditions of any kind affixed to orders and/or other documents sent by the Purchaser or third parties shall apply without the express written approval of Molino e Riseria Martini. In the event the Purchaser is a consumer pursuant to Legislative Decree no. 206/2005, as amended (called “Consumer Code”), the mandatory terms of the law shall apply.

1.2 As part of the pre-agreement negotiations, Molino e Riseria Martini sends to the potential Purchaser a document entitled “NOT-BINDING OFFER”, which has a mere commercial value and shall not be construed in any way a proposal subject to art. 1326, paragraph 1, Commercial Code. After any likely negotiations between the Parties, Molino e Riseria Martini sends to the Purchaser a sale proposal called “SALE PROPOSAL”, equivalent to a proposal pursuant to art. 1326, paragraph 1, Commercial Code, by fax, or by registered mail with acknowledgement of receipt or by express courier, or by PEC, or by e-mail with confirmation of receipt (hereinafter called “Proposal“). The Purchaser commits to check the completeness, accuracy and truthfulness of its own legal, taxation and contact data mentioned in the proposal, for which it takes full responsibility, and to report immediately to La Veronese any errors and/or inaccuracy of such data. Under Article 1326, paragraph 1, Commercial Code, the agreement is considered entered into only when Molino e Riseria Martini receives from the Purchaser the acceptance of the Proposal by fax or by registered mail with acknowledgement of receipt or by express courier or by PEC at laveronese@pec.laveronese.com, or by e-mail to the e-mail ordini@laveronese.com (“Acceptance).

1.3 Should the Purchaser change, suspend or cancel the order, Molino e Riseria Martini has the right to terminate the contract and to claim for damages or to increase the agreed price. In case of cancellation of the order, the deposit will not be returned.

  1. (Delivery Terms)

2.1 In no event the delivery terms agreed in the Agreement (hereinafter “Terms of Delivery“) shall be considered final terms. The Purchaser declares that it is aware of the fact that the business of Molino e Riseria Martini is completely suspended during periods of closure for the annual leave and national and/or local public holidays: where the agreed delivery terms fall within the said period of vacation or holidays, they shall be deemed automatically and proportionally extended to the next working day following the extended deadline. Any delays in delivery of 60 (sixty) days or less – unless otherwise specified by the contract – from the agreed or extended delivery term cannot under any circumstances give rise to claims for damages or price reductions, or entitle to cancelling and/or terminating and/or amending the Agreement. In case of late delivery exceeding sixty (60) days from the agreed or extended delivery term, the Purchaser shall be entitled to a daily penalty of EUR 50.00 (fifty / 00), effective from the sixty-first day until the actual delivery date; the Purchaser gives up expressly claims for the maximum damage, to claims of reduced prices, to request cancellation and/or termination and/or amendment of the Agreement.

2.2 In case of delays in delivery of certain products caused by unforeseeable circumstances, force majeure and/or other causes not attributable to willful misconduct and/or gross negligence of Molino e Riseria Martini, it shall make reasonable efforts to deliver the products within 60 (sixty) days following the Delivery Term under the Agreement, without prejudice to the provisions of art. 2.1. In any case, the Purchaser shall not be entitled to claim any compensation and/or damages, nor to require the termination and/or amendment and/or cancellation of the agreement or the price reduction for the furnished products. For illustrative purposes and not limited to these, force majeure means: strikes, labor disputes, lock-outs, fire, flood, flood, adverse conditions of the air or the sea or the rivers that prevent or delay navigation, blackouts or shortage of raw materials, delays in deliveries from suppliers, acts of government or other institutions or public authorities, earthquakes or other acts of nature, embargoes, war or revolution, or any other cause beyond the reasonable control of Molino e Riseria Martini

2.3 If during the execution of its obligations Molino e Riseria Martini requires the transmission of data by the Purchaser and/or specific information necessary for the proper fulfillment of delivery, any delay in their transmission will determine at least a proportional delay of the Delivery Terms. In any case, unless otherwise agreed in writing, if the Purchaser, during the execution of the Agreement and further to the Acceptance, requests in writing technical changes to the products, even if they do not involve price changes, subject to acceptance of Molino e Riseria Martini, the Delivery Time will be automatically extended for the time reasonably necessary to achieve the required changes.

2.4 Weighing. The weighing will refer to the tolerance levels reported in the technical data of the weighing type used from time to time.

  1. (Delivery)

3.1 Unless otherwise agreed in the Agreement, the Products are delivered EXW (loaded) (Incoterms 2010) to the registered office of “Molino e Riseria Martini”, Via Molino, 37 37168 – Vigasio (VR) in Italy (hereinafter referred to as “Delivery“). Unless otherwise agreed in writing, the Purchaser shall collect the products no later than the agreed delivery term. In case of delay in the withdrawal of the Products, the agreed payment terms shall not be extended and the Purchaser shall pay all charges relating to the occupation of the warehouses to Molino e Riseria Martini and/or third parties, and shall indemnify for any damage that the Products may have suffered in time caused by third parties, as well as by unforeseeable circumstances or acts of God. In any case the Purchaser shall bear the risk of loading the products in the means of transportation when an assignee of the Purchaser will be in charge of such transportation. It is understood that the risk of damage, deterioration, loss and/or theft of the same will be borne by the Purchaser from the initially agreed date of delivery. The Purchaser understands and agrees that the storage and/or custody of products in the warehouses of Molino e Riseria Martini occur(s) in places and/or in a manner suitable to the perfect preservation of the Products and will not raise claims, exceptions and counterclaims related to the same.

  1. (Price)

4.1 The price of the Goods is the one notified by Molino e Riseria Martini to the Purchaser in the offer and it is in the currency specified in the Agreement; in the absence of such specification, the price is in EURO.

4.2 However, the Seller shall have the right to increase the price of the Goods at any time before the delivery, in order to cover increases in the cost of the Goods due to any factor beyond the control of the Seller.

  1. (Hardship Clause)

5.1 In the event that, after the conclusion of the Agreement in accordance with art. 1.2, an extraordinary or unpredictable event occurs which makes the product supply of Molino e Riseria Martini prohibitively expensive pursuant to art. 1467 CC, the Purchaser and Molino e Riseria Martini shall renegotiate in good faith the terms and conditions of the Agreement, Molino e Riseria Martini having the right to terminate the agreement pursuant to art. 1467, paragraph 1, CC.

5.2 Without prejudice to the provisions of art. 5.1, it is understood that Molino e Riseria Martini is authorized to apply an increase of the agreed price in the event of changes in the costs of raw materials and/or labor that occurred in the period between the Acceptance, with consequent conclusion of the Agreement, and the Delivery. The increased price amount will be charged by bill payable at sight by bank transfer.

  1. (Payments)

6.1 The terms and methods of payment are those indicated to in the Agreement. Payments made by bills, promissory notes, checks, transfers or other means, shall not give rise to changes in the original contractual relationships and are accepted by Molino e Riseria Martini if they are conducive to money collection. The costs of collection, discounts, registration, etc. of securities and/or effects are exclusively on the charge of the Purchaser. Payments must be made to the registered office of Molino e Riseria Martini in Via Molino, 37 37168 – Vigasio (VR), Italia.

6.2 In case of failure to pay even partially the price, Molino e Riseria Martini shall be entitled to suspend the execution of the Agreement until full payment of the due amounts, or the enforcement of appropriate guarantees. Molino e Riseria Martini shall also be entitled to suspend the execution of the Agreement or to withdraw from it if the patrimonial and/or financial and/or corporate conditions of the Purchaser, even if arisen, are such as to endanger their payment, or when the Purchaser has failed to perform timely and accurately the payment of Products previously delivered by Molino e Riseria Martini even if under other contractual relationships.

6.3 In case of late payment, even partial, Molino e Riseria Martini will be entitled to the payment of default interests permitted by applicable law (Legislative Decree no. 231/2002, as amended), which in any case will begin to accrue automatically from the due day without need of any default notice.

6.4 Under no circumstances, any defects of the products, even if expressly recognized by Molino e Riseria Martini, as well as any delays in meeting the delivery terms, will give the Purchaser the right to suspend the payments, and/or any other payment due to Molino e Riseria Martini under this Agreement or other contractual relationships (estoppel clause pursuant to art. 1462 cc).

6.5 In any case, the Purchaser shall not pledge the products without having first paid the full price to Molino e Riseria Martini. Failing that, Molino e Riseria Martini may terminate the Agreement and claim the related damage.

  1. (Title retention clause – ban on disposals)

7.1 In case of delayed payments, the delivered Products remain the property of Molino e Riseria Martini until full payment of the price, except the risk transfer to Purchaser upon Delivery pursuant to Art. 1523 CC. The Purchaser assumes the obligation to keep these products in perfect condition until full payment of the price. The Purchaser authorizes Molino e Riseria Martini to make, at Purchaser’s expense, all the necessary formalities to enforce the title retention clause against third parties.

7.2 In case of delayed payments, non-payment of an installment exceeding one-eighth of the price under art. 1525 cc results in the loss of the benefit granted to the Purchaser and entitles Molino e Riseria Martini to terminate the Agreement pursuant to art. 1526 CC.

7.3 In case of delayed payments, if any enforcement proceedings, however they are named, are applied unto the Products, the Purchaser shall notify the prosecuting organ of the existence of the title retention clause, and shall immediately inform Molino e Riseria Martini by registered letter with acknowledgment of receipt. Failing that, Molino e Riseria Martini is entitled to terminate the Contract.

7.4 In the case of termination pursuant to art. 7.2. or art. 7.3, Molino e Riseria Martini will be entitled to withhold payments already made as indemnity and fair compensation for the use of the Products, subject to the right of claiming damages.

  1. (Guarantees and claims – returned goods – list/-s)

8.1 Molino e Riseria Martini guarantees the absence of defects in products pursuant to the law. In the event that any complaint of the Purchaser with regard to defects in products proves to be justified and accepted by Molino e Riseria Martini during the warranty period, Molino e Riseria Martini will provide free replacement of faulty products and/or, at its sole discretion, their repair with delivery made EXW (Incoterms 2010) at the registered office of Molino e Riseria Martini in in Via Molino, 37 37168 – Vigasio (VR), Italy. It is understood that the guarantee obligation assumed by Molino e Riseria Martini is limited to Product defects expressly recognized and accepted by Molino e Riseria Martini.

8.2 Under penalty of cancellation of the guarantee, the Purchaser must report the defects found in the products in writing, sending to Molino e Riseria Martini a detailed letter with acknowledgment of receipt, preceded by fax or by certified e-mail and attaching adequate photographic documentation, no later than fifteen (8) days from the date of Delivery of such Products. In any case, under penalty of forfeiture, the Purchaser also expressly undertakes to inspect the products no later than 3 (three) days from actual reception of such products. In case of hidden defects in products, not detectable by such an inspection, the Purchaser shall inform Molino e Riseria Martini in writing, by sending a detailed letter with acknowledgment of receipt, preceded by fax attaching adequate photographic documentation, of such found defects no later than 8 (eight) days from the discovery. In any case, the burden of proof regarding the date of the actual reception, the date inspection occurred, the date of discovery of the defects, as well as the burden of proof relative to the hidden nature of same defects, will be borne exclusively Purchaser. The Purchaser expressly waives the right to raise any appeal, claim, objection and/or counter-claim in this regard. Unless otherwise agreed between the parties, all other expenses related to the operations of replacement and/or repair will be borne to and at risk of the Purchaser.

8.3 The warranty is excluded if the defects reported by the Purchaser are caused by one or more of the following: (i) errors in the information and/or technical data that may be provided to Molino e Riseria Martini by the Purchaser pursuant to art. 2.3; (ii) changes and/or changes in the products not authorized in writing by Molino e Riseria Martini; (iii) storage and/or storage of products in places and/or methods unsuitable for their perfect preservation; (iv) improper use of the Products by Purchaser or third parties; (v) any other reason not attributable directly to Molino e Riseria Martini.

8.4 If the Agreement provides for a sale on sample type, it means that the sample should serve only to indicate quality in an approximate manner. Under Article 1522, paragraph 2, CC, the Purchaser shall therefore have the right to demand the termination of the Agreement only if the deformities of the sample are outlawed.

8.5 Molino e Riseria Martini accepts, at its sole discretion, the return of products which are not faulty, at the expense of and under sole responsibility of the Purchaser for delivery up to the registered office of Molino e Riseria Martini in in Via Molino, 37 37168 – Vigasio (VR), Italy. In any case, the returned products must be contained in the same package in which they were received by the Purchaser, must be intact and in perfect condition, shall have no damage and/or deformities of any kind, and must not have been processed/or used and/or processed and/or washed.

8.6 Purchaser understands and agrees that the information and/or data and/or images and/or terms of products, indicated in the list/s of Molino e Riseria Martini and/or on the website www.laveronese.com and/or other materials for technical and/or commercial and/or promotional, are purely indicative. Molino e Riseria Martini expressly reserves the right to change, at any time and without notice, specifications, models, materials, accessories, finishes and in general any characteristic of the products reported in the list / s and/or these websites and/or other materials for technical and/or commercial and/or promotional.

  1. (Non-Disclosure Clause)

In the pre-contractual stage and/or the execution of his obligations, Molino e Riseria Martini can transmit to the Purchaser certain information or data of a strictly confidential nature regarding the product/s including, but not limited to, preliminary designs, software, calculations, methods, processes and its designs, inventions, instruction manuals, techniques and related technologies, business plans (henceforth, “Confidential Information“). The Purchaser is obliged to receive and not disclose any Confidential Information and agrees not to reproduce, distribute, or otherwise use in any way, directly or indirectly, for any purpose of its own or for third parties, the Confidential Information. The non-disclosure obligations under this Article shall be taken by the Purchaser also on behalf of all its members, employees, officers, directors, consultants, agents or other persons dependent on it and/or connected, even on occasional basis, to which Confidential Information should be extended. The Purchaser agrees to return to Molino e Riseria Martini any Confidential Information when it will no longer need to use them or at least at the written request of Molino e Riseria Martini. The Purchaser also agrees not to make any copies, including electronic ones, of all or part of the Confidential Information. The Purchaser expressly recognizes the importance of the Confidential Information for the activities of Molino e Riseria Martini and therefore recognizes that each and any breach of non-disclosure obligations referred to in this article is, as well as any breach of the Agreement, an act of unfair competition by all effects of the law. Nothing in these terms and conditions is intended, explicitly or implicitly, to assign to the Purchaser any right, title or interest in the Confidential Information. The Purchaser agrees not to file any patent application for invention, and/or utility model, developed through the Confidential Information. In any case of breach of the non-disclosure obligation under this article, the Purchaser will be required to pay damages suffered as a result of the breach to Molino e Riseria Martini.

  1. (Charges)

Any taxes, levies, duties, fees, licenses, authorizations, permits and/or other tax charges and/or Custom duties and/or administrative expenses however designated, under the laws of the State of importation of products covered by the Agreement (hereinafter then, “Charges“), are entirely and exclusively borne by the Purchaser, unless otherwise specified by the contract. No delay in the settlement of such charges shall entitle the Purchaser to terminate the Agreement and/or to claim damages. The Purchaser expressly waives the right to raise any challenge, claim, appeal, objection and/or counter-claim in this regard.

  1. (Ban of Assignment)

The Agreement may not be assigned by the Purchaser, not even partially, without the prior written consent of Molino e Riseria Martini. Molino e Riseria Martini reserves the right to assign, in whole or in part, the Agreement, upon written notice to Purchaser.

  1. (Language)

These General Conditions of Sale are written in Italian and shall be understood as the only authentic text. In the case of translation into other languages, such translations should be considered as mere working papers.

  1. 13. (Titles)

The section titles in these general conditions of sale are indicative and do not imply any limitation related to what is provided herein.

  1. (Waiver)

In the event Molino e Riseria Martini does not exert, at any time, the rights conferred upon it by one or more provisions of this Agreement, this situation shall not be construed as a general waiver of such rights, nor will prevent Molino e Riseria Martini from requesting subsequently the timely and strict observance of such rights.

  1. (Severability)

      The possible invalidity or unenforceability of any provision of these General Conditions of Sale, for any reason it may intervene, shall not result in the invalidity of the Agreement as a whole, nor in the invalidity of any other contractual provision not directly related to and/or depending on the clause considered null and/or ineffective.

  1. (Exclusive jurisdiction – Reimbursement of legal fees)

16.1  For any dispute that may arise related to the conclusion, application, interpretation, validity, effectiveness, execution and/or termination of this Agreement will be referred exclusively to the Court of Verona (Italy). Still Molino e Riseria Martini has the right to act in justice, as an interim or provisional measure, before the competent court of law of the Purchaser’s address.

16.2 For any dispute that may arise related to the conclusion, application, interpretation, validity, effectiveness, execution and/or termination of this Agreement, the winning party shall be entitled to obtain from the other party the reimbursement of any professional technical and/or forensic costs, expenses and compensation, to a reasonable extent, incurred in relation to the dispute.

  1. (Applicable Law)

The law applicable to the Agreement is Italian, being expressly excluded the application to the Agreement of the United Nations Convention on the International Sale of Goods (Vienna Convention of April 11, 1980).
